1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of secureplanrooms.com and secureplanroom.com (collectively, the "Service"), operated by Rotolite Elliott ("Secure Plan Rooms," "we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

Secure Plan Rooms provides controlled-access hosting and distribution of construction project documents, including plan holder tracking, addenda notifications, and sealed electronic bidding. The plan room platform (secureplanroom.com) runs on hosting infrastructure provided by ReproConnect (Signature Tech Studio, Inc.). Secure Plan Rooms manages the platform day to day, including uploading and distributing project documents and configuring project-level security settings. Custom, branded plan room environments are offered as an upgraded service through secureplanrooms.com.

3. Accounts and Registration

Access to project documents requires user registration and authentication. You agree to:

• Provide accurate, current, and complete information when registering.

• Keep your login credentials confidential and secure.

• Notify us promptly of any unauthorized use of your account.

• Enable two-factor authentication (2FA) when required or recommended for a project.

You are responsible for all activity that occurs under your account.

4. Acceptable Use

You agree not to:

• Share your account credentials with unauthorized individuals or attempt to bypass registration/authentication requirements.

• Use the Service to distribute project documents outside the scope permitted by the project owner.

• Upload malicious files, attempt to disrupt the Service, or access data you are not authorized to view.

• Use the Service for any unlawful purpose or in violation of applicable bidding, procurement, or public records laws.

We reserve the right to suspend or terminate accounts that violate these Terms.

5. SMS / Text Messaging Program

By opting in through our contact form, you consent to receive SMS text messages from Secure Plan Rooms, including appointment reminders, account notifications, and information about our services. Message frequency varies. Message and data rates may apply. Text HELP to (585) 385-1463 for assistance, or text STOP at any time to unsubscribe. You can resume messages at any time by texting START. Consent to receive text messages is not a condition of using the Service. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. This does not include text messaging originator opt-in data and consent; this information will not be shared with third parties for any purpose, except as necessary to provide the messaging service itself.

6. Project Documents

Project documents (plans, specifications, addenda) are provided by the engineers, architects, or agencies responsible for each project, exactly as issued. We do not modify or alter these files. We make no warranty as to the accuracy, completeness, or fitness of any project document for a particular purpose, and are not responsible for bidding decisions made in reliance on them. Bidders are responsible for confirming they have the most current version of all documents, including addenda, before submitting a bid.

7. Sealed Electronic Bidding

Where sealed electronic bidding is offered, bids are submitted and stored securely until the applicable bid opening. We are not responsible for bid submissions that are incomplete, late, or affected by technical issues outside our reasonable control (e.g., internet outages, third-party service disruptions). Bidders should submit well in advance of any deadline.

8. Intellectual Property

All content on secureplanrooms.com — including text, graphics, logos, and design — is owned by or licensed to Rotolite Elliott and may not be copied, reproduced, or distributed without permission. Project documents remain the property of their respective owners (engineers, architects, or project agencies) and are made available solely for bidding purposes.

9. Third-Party Services

The plan room platform is provided in part through ReproConnect. Your use of that platform is also subject to ReproConnect's own terms and privacy policy, available at reproconnect.com. We are not responsible for the acts, omissions, or downtime of third-party service providers.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ROTOLITE ELLIOTT AND ITS AFFILIATES, INCLUDING SECURE PLAN ROOMS, SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Rotolite Elliott, Secure Plan Rooms, and their officers, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms or misuse of the Service.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful to other users or the Service.

14. Governing Law

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in New York.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last Updated" date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
